Board approves BancFirst’s acquisition of Spirit BankCorp

FRB Order No. 2026-23 (Sep 22, 2026) lets BancFirst Corporation of Oklahoma City acquire Spirit BankCorp of Bristow and merge BancFirst with SpiritBank of Tulsa, keeping SpiritBank branches.

On September 22, 2026, the Federal Reserve Board approved BancFirst Corporation’s application to acquire and merge with Spirit BankCorp, Inc., and thereby take in SpiritBank. BancFirst, the state member bank, would merge with SpiritBank and operate branches at SpiritBank’s main office and branch sites.

The Board order (FRB Order No. 2026-23) puts BancFirst at about $15.1 billion in consolidated assets and about $12.9 billion in deposits before the deal. Pro forma assets would be about $15.9 billion, with deposits about $13.7 billion. In Oklahoma, BancFirst would remain roughly the third-largest insured depository organization by deposits.

The proposal drew four adverse comments. The Board said it considered competition, convenience and needs, and financial and managerial factors. The Justice Department reviewed competitive effects under the Bank Merger Act.
